1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and VeloVault LLC, doing business as BullionBuddy ("we," "us," or "our"). By accessing or using the BullionBuddy mobile application, website at bullionbuddy.app, or any related services (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service. We recommend that you print or save a copy of these Terms for your records.

2. About BullionBuddy

BullionBuddy is a peer-to-peer marketplace platform that connects buyers and sellers of precious metals, including but not limited to gold, silver, platinum, and palladium bullion, coins, and related products. The Service provides tools for listing items, communicating with other users, viewing spot prices, and locating safe exchange zones.

BullionBuddy is a platform only. We do not buy, sell, trade, authenticate, appraise, store, ship, or handle any precious metals. We do not act as a broker, dealer, escrow service, or financial advisor. All transactions are conducted directly between users at their sole discretion and risk.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or remain inactive for extended periods.

You may request deletion of your account at any time by visiting the account deletion page in the app or by emailing us. Account deletion is processed in accordance with our Privacy Policy.

5. Push Notifications

The Service may request permission to send push notifications to your mobile device. Push notifications may include alerts about new messages from other users, activity on your listings, spot price movements, listing bump confirmations, and other account-related events.

6. Marketplace & Listings

Users may create listings to offer precious metals for sale. When creating a listing, you agree that:

7. Transactions Between Users

BullionBuddy does not process payments, facilitate transactions, or provide escrow services. All transactions, including negotiation, payment, and exchange of goods, are conducted entirely between the buyer and seller.

Regulatory Compliance

Depending on your state of residence and the nature and volume of your trading activity, you may be subject to state and local laws governing the purchase, sale, or exchange of precious metals or secondhand goods. You are solely responsible for determining and complying with all applicable laws before conducting any transaction. Examples of requirements that may apply include:

BullionBuddy is a technology platform that connects buyers and sellers. We are not a dealer, broker, intermediary, or marketplace facilitator for tax purposes, and we do not process payments, collect identification, or monitor regulatory or tax compliance on behalf of users. If you are uncertain about your legal obligations, we strongly encourage you to consult a qualified attorney or tax professional, or contact your state's relevant licensing or regulatory authority, before conducting transactions through the Service.

8. Subscription Plans & Payments

BullionBuddy offers the following subscription tiers:

Subscriptions are billed through the Apple App Store or Google Play Store and are managed by RevenueCat. By subscribing, you also agree to the payment terms of the applicable app store.

We may also offer promotional codes (such as Founding Dealer codes) that grant temporary access to paid features. Promotional access is subject to activity requirements and may be revoked for inactivity as described in the promotional terms.

9. User Content

"User Content" includes any text, photos, messages, reviews, ratings, or other material you submit through the Service. By submitting User Content, you:

We do not claim ownership of your User Content. You may remove your content by deleting listings or your account, subject to reasonable backup and archival processes.

We reserve the right to remove any User Content that violates these Terms, is flagged by our automated moderation systems, or is reported by other users.

10. Prohibited Conduct

Violations may result in listing removal, account suspension, permanent ban, and/or reporting to law enforcement where appropriate.

11. Safety & Physical Meetups

Because BullionBuddy facilitates connections for in-person precious metals trades, your personal safety is critically important. We strongly recommend:

BullionBuddy is not responsible for your safety during in-person meetups. You engage in all physical trades entirely at your own risk. We provide safe exchange zone suggestions as a convenience only, and do not guarantee the safety of any location.

12. Intellectual Property

The BullionBuddy name, logo, mascot, app design, and all related trademarks, service marks, and branding are the property of VeloVault LLC. All rights are reserved.

The Service, including its software, design, text, graphics, and other content (excluding User Content), is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VELOVAULT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless VeloVault LLC and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.

You may terminate your account at any time by requesting account deletion through the app or by emailing support@bullionbuddy.app.

17. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Informal Resolution: Before filing any formal legal action, you agree to first contact us at support@bullionbuddy.app and attempt to resolve the dispute informally for at least 30 days.

Disputes Between Users: BullionBuddy does not mediate, arbitrate, or resolve disputes between users. If you have a dispute with another user regarding a transaction, you are responsible for resolving it directly with that user. If you believe a user has engaged in fraudulent or illegal conduct, we encourage you to use the in-app Report feature and contact local law enforcement.

Reporting Abuse & Safety Issues: To report abuse, fraud, harassment, counterfeit items, or safety concerns outside of the in-app Report feature, contact our dedicated abuse team directly at abuse@bullionbuddy.app. Law enforcement agencies may also use this address to submit formal requests for information. We will respond to properly submitted legal process in accordance with applicable law.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, providing notice through the app or via email.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
